Muvmet Instructor Agreement & Liability Waiver

Effective Date: 4 Nov, 2025

1. Independent Contractor Status

Instructor acknowledges they are operating as an independent contractor, not an employee or
agent of Muvmet. They are solely responsible for their own taxes, insurance, equipment, and
compliance with applicable laws.

2. Content Ownership & License

Instructor retains ownership of their original course materials, videos, and images, but grants
Muvmet LLC a non-exclusive, royalty-free, worldwide license to:

  • Host, distribute, and promote the content on the Platform and Muvmet’s marketing
    channels (website, email, social media, etc.).
  • Use Instructor’s name, likeness, and performance footage to promote the course and
    Muvmet brand.

Muvmet agrees not to sell or license Instructor content outside the platform without written
consent.

3. Instructor Responsibilities

  • Instructor represents that all content uploaded is original and does not infringe upon
    copyrights or trademarks of others.
  • Instructor ensures that any training, demonstrations, or advice provided are safe, accurate,
    and suitable for online instruction.
  • Instructor agrees to maintain a professional and supportive tone consistent with
    Muvmet’s community standards.

4. Participant Safety & Waiver

Instructor understands that Muvmet students participate in movement-based activities (e.g., pole,
aerial, dance, flexibility) at their own risk.
Instructor agrees to:

  • Include proper warm-up, safety, and disclaimer guidance in all videos.
  • Avoid instructing dangerous or stunt-based moves that cannot be safely performed
    without supervision.
  • Encourage participants to consult with a medical professional before engaging in physical
    activity.

Instructor hereby releases Muvmet LLC, its founders, affiliates, and staff from any claims
arising out of participant injury or misuse of instructional content.

5. Liability & Indemnification

Instructor agrees to indemnify and hold harmless Muvmet LLC from any and all claims,
damages, or expenses arising from:

  • Injuries or incidents connected to their instruction or content;
  • Intellectual property disputes;
  • Breach of this agreement.

Muvmet may, at its discretion, suspend or remove content that appears unsafe, misleading, or violates this agreement.

6. Payouts & Compensation

  • Instructors receive commissions based on course sales, event tickets, and view-based
    bonuses, as detailed in Muvmet’s current payout policy.
  • Payments are processed via Stripe or PayPal Connect within standard payout cycles.
  • Muvmet reserves the right to adjust commission structures with 30 days’ notice.

7. Term & Termination

This agreement remains in effect as long as the Instructor’s content remains on Muvmet. Either
party may terminate with written notice.
Upon termination, Muvmet will remove the Instructor’s paid courses but may retain promotional
snippets (reels, clips, etc.) previously published on social media.

8. General Provision

  • This agreement shall be governed by the laws of the State of Texas, USA.
  • Electronic consent (via checkbox, signature, or digital timestamp) is legally binding.
  • Instructor acknowledges reading and understanding this document and agrees to its terms
    voluntarily.
